Terms of Service

By accessing or using the NeuDocIQ platform, APIs, NeuDocIQ Studio, or any related services (collectively, the "Service") provided by NeuDayAI Technologies Private Limited ("NeuDayAI", "we", or "us"), you agree to be bound by these Terms of Service ("Terms").

If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. If you do not agree to these Terms, you must not access or use the Service.

These Terms were last updated on 1 May 2025. We reserve the right to update these Terms. Material changes will be notified to registered users at least 14 days before they take effect.

NeuDocIQ is a document intelligence platform that provides AI-powered parsing, classification, extraction, and verification of documents via a REST API and web-based Studio interface.

The Service allows you to submit documents, configure processing pipelines, extract structured data, and integrate output into your own systems.

We offer the Service under tiered plans described at neudociq.com/pricing. The features available to you depend on the plan to which you have subscribed.

You must provide accurate and complete information when registering an account. You are responsible for maintaining the security of your API keys and account credentials.

You may not share your API keys with unauthorised parties. If you believe your API key has been compromised, you must rotate it immediately via the Studio settings.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a security risk to the Service or other users.

You agree not to use the Service to:

— Process documents without the legal right to do so — Submit documents containing data of individuals without appropriate consent or legal basis under the DPDP Act — Attempt to reverse engineer, circumvent, or disable any security feature of the Service — Scrape or systematically harvest data from the Service beyond the designed API usage — Submit malicious files, code, or content designed to harm the Service or its users — Use the Service in any manner that violates applicable laws, including the IT Act 2000, DPDP Act 2023, or data protection regulations

We reserve the right to investigate and, if necessary, suspend or terminate access for users who violate this section.

You retain all rights in the documents and data you submit to the Service ("Customer Data"). You grant us a limited, non-exclusive licence to process your Customer Data solely to provide the Service to you.

We do not claim ownership of your Customer Data. We do not use your Customer Data to train AI models.

You are responsible for ensuring you have the right to submit Customer Data to the Service, and that doing so complies with applicable laws, including the DPDP Act 2023.

Our use and handling of Customer Data is governed by our Privacy Policy at neudociq.com/privacy.

Paid plans are billed as described at neudociq.com/pricing. All prices are exclusive of GST. GST will be charged at the applicable rate to customers in India.

Subscription fees are billed at the start of each billing period. Overage charges for document processing beyond your plan limits are billed at the end of each billing period.

You must maintain a valid payment method on file. Failure to pay may result in suspension or termination of your account after a grace period of 7 days.

All payments are non-refundable except as required by applicable law or as expressly stated in a written agreement with NeuDayAI.

NeuDocIQ, the NeuDayAI name and logo, and all underlying technology, models, and documentation are the intellectual property of NeuDayAI Technologies Private Limited and are protected by applicable intellectual property laws.

Nothing in these Terms transfers ownership of our intellectual property to you.

If you provide feedback or suggestions about the Service, you grant us a royalty-free, perpetual licence to use that feedback to improve the Service without obligation to you.

We target 99.5% monthly uptime for the core API and Studio for customers on paid plans. Scheduled maintenance windows will be communicated at least 24 hours in advance.

Uptime is measured on a calendar-month basis excluding scheduled maintenance.

Enterprise customers may negotiate specific SLA terms, including uptime guarantees, response time commitments, and remedies, as part of a separate Enterprise Agreement.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

AI-generated outputs, including OCR results and data extractions, may contain errors. You are responsible for reviewing outputs before relying on them in any decision-making process.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEUDAYAI'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO NEUDAYAI IN THE 12 MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL NEUDAYAI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Nothing in these Terms limits liability for fraud, gross negligence, or wilful misconduct.

You may terminate your account at any time by contacting us at contact@neudayai.com or through the Studio account settings.

We may terminate or suspend your access immediately if you materially breach these Terms, engage in fraudulent activity, or if we are required to do so by law.

On termination, your right to use the Service ceases. We will delete your Customer Data within 30 days of termination, except as required by law.

These Terms are governed by the laws of India. Any dispute arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts at Pune, Maharashtra, India.
